2.2 Payment Methods: Payment for our services can be made through the payment methods specified in the invoice, such as bank transfers, credit cards, or other agreed-upon payment gateways. You are responsible for any transaction fees associated with the chosen payment method.
2.3 Late Payments: In the event of late payment, we reserve the right to suspend or terminate our services until payment is received. Late payments may also incur additional charges or interest, as outlined in the separate agreement.
3.1 Ownership: Any intellectual property rights arising from our services, including but not limited to designs, code, graphics, or content, will remain the property of Pandaje Web Services or its licensors, unless otherwise agreed upon in writing.
3.2 License: Upon full payment for the services provided, Pandaje grants you a non-exclusive, non-transferable license to use the deliverables solely for the intended purpose outlined in the agreement. This license does not grant you the right to modify, distribute, or commercially exploit the deliverables without our prior written consent.
4.1 Confidential Information: Both parties may disclose confidential information to each other during the course of the services. Confidential information includes, but is not limited to, proprietary business information, trade secrets, client data, and project details. Each party agrees to keep such information confidential and not disclose it to third parties without prior written consent, except as required by law.
4.2 Exceptions: The obligations of confidentiality do not apply to information that is publicly available or becomes known to the receiving party through lawful means independent of the disclosing party.
5.1 Service Limitations: While we strive to provide high-quality services, Pandaje Web Services does not guarantee specific results or outcomes. We are not liable for any damages, losses, or claims arising from your use or reliance on our services, including but not limited to financial losses, business interruption, or reputational harm.
5.2 Indirect Damages: In no event shall Pandaje Web Services be liable for any indirect, incidental, consequential, or punitive damages arising out of or in connection with our services, even if we have been advised of the possibility of such damages.
6.1 Termination by Client: You may terminate the services by providing written notice to us. Termination may be subject to certain conditions, as outlined in the separate agreement.
6.2 Termination by Pandaje: We reserve the right to terminate our services if you fail to comply with these Terms or if your actions or conduct negatively impact our ability to provide the services. We may provide notice of termination and allow an opportunity to remedy the situation, but we are not obligated to do so.
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction mentioned in the separate agreement. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in that jurisdiction.
Pandaje Web Services reserves the right to modify or amend these Terms at any time. Any changes will be effective upon posting the updated Terms on our website or providing notice to you through other means. Your continued use of our services after any changes indicates your acceptance of the modified Terms.
These Terms, together with any separate agreement or proposal, constitute the entire agreement between you and Pandaje Web Services regarding the subject matter herein and supersede any prior agreements or understandings, whether written or oral.
